TERMS & CONDITIONS

By using the service of Two Sides, you agree to these terms and conditions.
If Two Sides has a separate contract with you, that may override these general terms.
Definition of services
Two Sides will provide services listed on the website. It may also provide additional copy and content writing-related services on agreement with you.
Two Sides will use reasonable skill and care to provide its services, comply with specifications for the relevant services and promptly respond to any reasonable questions you have about its services.
Claims and liabilities
Although Two Sides will make every effort to avoid errors, omissions, misrepresentations, inaccurate implications and other inaccuracies in the content it manages, the final responsibility for published material remains with you.
Likewise, when you engage with Two Sides, you are responsible for the accuracy of the information you provide. All materials provided by you are assumed to be legal and accurate.
Two Sides cannot accept responsibility or liability of any kind for any loss or damage, whether material, financial, commercial or reputational, that you incur as a result of choosing to publish material provided by Two Sides.
Quotes and proposals
All quotes and proposals are valid for 10 days from submission date.
Revisions
Quotes include two rounds of reasonable* revisions at no extra charge unless otherwise stated. Additional fees, at an hourly rate of $120+GST, will be charged for additional revisions.

You have a maximum of 7 days from submission of the first draft to respond with revisions unless otherwise agreed. You have a maximum of another 7 days from submission of the second draft to respond with revisions unless otherwise agreed.
Additional fees, at an hourly rate of $120+GST, will be charged for any revisions outside these 7-day periods, and for any revisions beyond the 2 rounds included in the quote.
Quotes do not include additional meetings or liaison time outside of the initial agreed scope.

*This may include tweaks to messaging and minor content changes but does not include a full re-do of the project or large sections of content.
Deposits
A non-refundable deposit of 50% of the total quote will be required before work can begin. This may vary and will depend on the scope of the project and is at the discretion of Two Sides.
Invoicing
The remaining 50% is due on completion of the project. However, if the revision deadlines are not met and the project is dragging out beyond a reasonable point, Two Sides reserves the right to invoice for a progress payment. Or pause the project, invoice for the work completed, and pick up the project again at a later date.

Otherwise, services will be invoiced at the end of each project, or on a monthly cycle depending on the length and nature of the work.

Invoices will show a breakdown of items and costs as well as any additional chargeable expenses. They must be paid in $NZD by bank transfer within 7 days of receipt unless otherwise arranged.
Payments can also be transferred via PayPal by prior arrangement. PayPal payments incur a 2.5% surcharge or 3.5% for payments from overseas.
Overdue invoices will incur an additional 10% fee for each month they’re overdue. If a third-party organisation is engaged to recover debt, you are responsible for paying the additional costs involved, including any legal expenses.
If your project is urgent and requires a first-draft turnaround of less than 3 working days, Two Sides reserves the right to charge a rush loading fee of 25%. If that's the case, this will be discussed with you before beginning work.
All work completed by third parties, such as photographers, printers, and designers, will be charged directly to you. Any work undertaken for you by a third party will be agreed with you beforehand.
Any costs additional to the service (eg couriers etc) will be in addition to the amount quoted and will be charged to you as required.
GST
Two Sides is liable by law for GST. Therefore you must pay the GST amount.
Refund policy
Unless required by law, Two Sides does not provide refunds for services provided.
Additional meetings
Additional meetings (either in person, or virtual), can be added to the project at your request. However, these will be charged at an hourly rate of $120+GST and will include any necessary travel time. Meetings cancelled less than 24 hours beforehand will still be charged.
Changes in scope
Any changes to the original project brief will mean the original quote is invalid. Additional charges may be applied to cover the extra work or related expenses. This will be discussed with you and a new quote approved by you (and deposit paid, if applicable) before work can continue.
Timeframes/deadlines
Services will be completed to a timeline agreed with you at the beginning of each project on the condition that you provide a reasonable brief and all supporting material needed to complete the work.
The timeline will depend on the service requested, notice period given and Two Sides’ current workload. However, circumstances beyond Two Sides' control, including illness or emergencies, may mean this needs to be altered. This will be discussed with you beforehand if reasonably possible.
You will need to be available to answer any questions that arise within a reasonable timeframe in order for the work to be completed within the agreed period of time. If Two Sides is unable to complete work because information from you has not been received, this may affect the deadline.
If you do not communicate with Two Sides, or provide feedback on work for 30 calendar days, unless previously discussed, the project will be closed and any final charges will be invoiced.
Point of contact
You will nominate one primary contact for all communication and revisions throughout the project, unless agreed otherwise.
Termination of relationship
Either party is entitled to terminate the relationship at any time which may be effective immediately. At that point, no further charges will be incurred. However, Two Sides will still be entitled to payments for any period that occurred prior to the date of termination.
Confidentiality
If Two Sides has signed a confidentiality agreement with you, the terms of that agreement take precedence.
Two Sides will not disclose any information you identify as confidential. You agree not to disclose any information about Two Sides' pricing structure or project documentation (eg proposals).
Two Sides reserves the right to use your projects for its own promotional use, unless asked not to. This includes referring to the project, your business name and using your logo and content unless otherwise agreed.
Risk
Two Sides is not responsible for any delay if caused by situations beyond reasonable control including, but not limited to acts of God, power failure and equipment failure.
Copyright
You will have full copyright and intellectual property rights for all work completed by Two Sides once final payment has been made. Until that time, Two Sides retains these rights.
Changes to terms and conditions
Two Sides may change these terms and conditions, including fees, at any time.
Privacy policy
Two Sides may store data about a company or individual. That data can include personal information. Personal information is information about an identifiable individual, and may include information such as the individual’s name, email address and telephone number.
Two Sides may collect personal information directly from you when you:

• Use the service
• Contact Two Sides
• Visit the Two Sides website
You can always choose not to provide your personal information to Two Sides, but it may mean that we are unable to provide you with the service.
Any personal information you provide will not be shared with anyone else without your consent.
Governing Law
These terms and conditions are governed by New Zealand law and the Courts of New Zealand have exclusive jurisdiction if there’s a dispute.
